These Terms of use sets out the main principals, key aspects and use of Services offered by Syntropy Network Limited hereinafter referred as “Syntropy”, “We” or “Our”. Any person and/or entity who decides to use Syntropy Services shall hereinafter be referred as “User” and/or “You”.

Introduction

Syntropy Platform is the User interface of a Syntropy Stack, which is a set of tools to manage User network infrastructure, establish secure, optimized connections and manage multi-cloud networks easily. Syntropy Stack allows connecting most Linux based systems via programmable APIs, SDK, CLI and YAML configuration files:

Syntropy Agent is an easy-to-use dependency to automatically encrypt and connect endpoints within a network. The agent is necessary to establish a connection with Syntropy and is distributable as a Python client or Windows / Mac application:

To use it, the User must provide an agent token that is available in the Syntropy Platform, therefore Syntropy Platform is a prerequisite. 

Syntropy Windows application - works the same as the Syntropy Agent but adapted to be easily run-on Windows:

Syntropy macOS application - works the same as the Syntropy Agent but adapted to be easily run on Windows:

Syntropy DARP agent is a proprietary protocol, that employs endpoint pulse groups and a specific algorithm to determine the fastest route through which a data packet could travel at a time. This is further used for route optimization:

Syntropy SDK is a tool to manage Syntropy networks programmatically, using a simple Python interface:

  • To use it, the User must authenticate himself, therefore Syntropy Platform is a prerequisite.

Syntropy NAC is Network As Code library and command-line utility. It allows Users to use configuration files in both YAML and JSON to specify network configurations, as well as manage the detailed flow of requests coming through Your endpoints:

We may amend these Terms of use at any time and at Our sole discretion. If We do so, We will change the “Last revision” date at the beginning of these Terms of use.  By continuing to use the Syntropy Services following the release of updated Terms of use You consent to such update. We recommend that You check this page regularly for updates to the Terms of use.

Acceptable use

You must comply with any instructions We give You about how to use the Syntropy Services and must not do anything that interferes with or adversely affects the normal operation of the Syntropy Website and Services (including the ability of other Users to access or use the Website). You are responsible for ensuring the security of the systems and devices that You use to access the Website or use the Services offered by Syntropy, including through the use of appropriate virus-checking and other security software.

 

Registration and accessing the Services

To access the Services offered by Syntropy, You must register on the Syntropy Stack website at syntropystack.com, and create the account with login credentials by providing all required information. You agree to provide accurate and complete information while registering in the Syntropy Stack website. You must keep confidential Your login details. If You set up an authorized account for an organization, You must require that all authorized Users of that account (including anyone providing Services to You)keep confidential their login details. You will be responsible for any use of the Syntropy Services by anyone using Your login credentials. If You believe an unauthorized person has gained access to Your account, You must notify us as soon as possible.

Updates to software

Syntropy reserves the right to automatically install any updates to software or any of its tools without proving any additional notice or receiving any additional consent. By accepting these Terms of use, You consent to these automatic updates.

Restricted access

Access to certain areas of the Syntropy Website is restricted. Syntropy reserves the right to restrict access to other areas of the Website at Our discretion.

If We provide You with or allow You to select/create/generate a User ID and password to enable access to restricted areas of the Website or other content or Services, You must make sure that the User ID and password are kept secure and confidential at all times.

We may disable Your ID and password at Our sole discretion without notice or explanation.

We may suspend, terminate, or block Your access to all or any part of the Website or to Your account at any time and without prior notice to You.

We reserve the right to access Your account, the information that You have provided and the data You have stored with us for support, maintenance, and servicing purposes or for any security, technical or billing reasons or in the case We have reasonable suspicions that Your account was used by unauthorized persons.

Intellectual property

All the intellectual property rights in and to the Syntropy Website belong to us and Our licensors. You may download or print sections of the Website if needed for Your own personal use, however, in other cases You may not recreate any part of the Website without Our express prior consent. To the extent that the Website contains functionality that allows You to access or download specific materials through the Website, Your use of that functionality and the downloaded materials may be subject to separate Terms of use which You will be asked to read and accept at the relevant time.

You may provide a link to the home page of the Syntropy Website at, on any Website You operate, as long as You do not suggest any form of association, approval or endorsement on Our part without Our express prior permission and You promptly delete the link at Our request. Syntropy does not take any responsibility for any damages to, or viruses that may infect Your computer equipment or other property on account of Your access to, use of, or browsing in the Syntropy Website or Your downloading of any materials, data, text or images.

No financial Services activities or advice

The information and any materials contained in Syntropy Website should not be considered as an offer or solicitation to buy or sell regulated instruments, provide advice, enable, or take deposits or deliver any other regulated Services of any kind in any jurisdiction, except as expressly stated and lawfully permitted. Any products or Services described on this Syntropy Website are not available to all persons and are subject to separate terms, conditions and restrictions. The information contained on, is not intended to provide advice and should not be construed as advice of any kind. You should obtain appropriate professional advice when necessary. Limitations of liability

While We will use reasonable endeavors, care, and skill in providing Services, We cannot guarantee that the Syntropy Website and Our Services will always be available, meet Your requirements or be completely free of faults, errors or compromise from cybersecurity events. To the maximum extent permitted by law, except as expressly set out in these Terms of use, Syntropy in no event will be liable for any incidental, exemplary, direct or indirect damages for any loss of profit, revenue, savings, goodwill, data, opportunity or business interruption or any other loss whether in contract or tort (including negligence) incurred by You or any other User in connection with the use of Syntropy Service or Syntropy Website. Therefore, Syntropy shall not be held liable for illegal activities of You or damages caused by the User.

To the extent We are unabled by law to exclude any implied condition, representation, warranty, or statutory guarantee in relation to the provision of Service through the Syntropy Website, We limit Our liability for a breach to the re-supply of those Service or payment for such re-supply. This is without limitation to any other exclusions or restrictions of Our or others’ liability in connection with use of Syntropy Service or Syntropy Website.

You agree to indemnify and hold Syntropy, its officers, employees, partners, suppliers, subsidiaries, agents and other third parties harmless from all liabilities, costs, related to any violation of these Terms of use by You, or in connection with Your use of Syntropy Service or Syntropy Website.

By using the Website, You agree that the exclusions of liability set out herein are reasonable. If You do not think they are reasonable, You must not use the Syntropy Service and Syntropy Website.

Severability

Should any provision of these Terms of use be found to be unfair, invalid, or unenforceable for any reason whatsoever, its unfairness, invalidity or unenforceability shall not affect the validity or enforceability of any other provision and any unfair, invalid or unenforceable provision shall be severable. 

The terms contained in these Terms of use are severable so that if any part of them shall be declared void the remaining parts shall remain valid.

Entire agreement

Other than certain specific functionalities of the Syntropy Service or Syntropy Website, which may from time to time, be subject to separate, explicitly stated terms and conditions, these Terms of use constitute the entire agreement between You and the Syntropy in connection with Your use of the Syntropy Service or Syntropy Website.

Privacy

We will manage any personal information that We collect using the Syntropy Service procedures or use of Syntropy Website in accordance with Our Privacy Policy, which You can access at syntropynet.com/privacy-policy.

Age restriction

You must be 13 years old or older to use Our Services. Syntropy does not accept any and all responsibility for any damages, incidents or any negative consequences caused by person younger than restricted age. Upon the legal age of 18, parents are fully responsible for their children’s actions while using Syntropy Services.

Governing law and jurisdiction

These Terms of use will be governed and construed in accordance with Gibraltar law and Syntropy and You irrevocably submit to the exclusive jurisdiction of the courts of Gibraltar.
